AX Momentum

1. Acceptance of Terms

By accessing or using AX Momentum (the "service"), creating an account, or activating membership, you ("you" or "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the service.

These Terms form a legally binding agreement between you and Sevi Rich trading as Amplify X, ABN 52 679 205 719, of Perth, Western Australia, Australia ("Amplify X", "we", "us", or "our"), which operates AX Momentum.

2. The Service

AX Momentum is a coaching service that provides interactive, individualised coaching and decision-support generated dynamically based on each user's specific circumstances and real-time inputs. Each coaching response is created in real time and is unique to the user and the situation they bring to the service. The service does not deliver pre-produced digital content, courses, books, audio, video, or downloadable materials. The service is provided for personal, non-commercial use only.

3. Eligibility

You must be at least 18 years old to use the service. By using the service you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. Account Registration

To access the service, you must provide an email address. You are responsible for:

• maintaining the confidentiality of your account credentials;
• all activities that occur under your account;
• ensuring the information you provide is accurate and current.

You agree to notify us immediately at support@axmomentum.com of any unauthorised use of your account.

5. Membership Terms

5.1 Membership Access

Active membership provides ongoing access to the service, which delivers individualised coaching guidance generated in real time in response to each user's inputs. Membership is activated and managed through our web service at axmomentum.com.

5.2 Membership Fees

Membership fees are disclosed at the point of activation and processed via a third-party payment processor.

5.3 Renewal

Memberships renew automatically at the then-current fee unless cancelled at least 24 hours before the end of the current billing period.

5.4 Cancellation

You may cancel your membership at any time through the billing portal linked in the service, or by emailing support@axmomentum.com from the email address associated with your account.

Cancellation takes effect at the end of your current billing period. You will retain access until that date. No partial refunds are provided for unused time within a billing period, except as required by Australian Consumer Law.

5.5 Price Changes

We may change membership fees at any time. If we increase fees, we will provide at least 30 days' notice via email to your registered address. Continued use of the service after the price change takes effect constitutes acceptance of the new price.

5.6 Free Trial or Promotional Offers

New visitors may be offered a limited free trial — currently one complete coaching session — without an account or payment. We may change or withdraw the trial at any time, and attempting to circumvent its limits to obtain repeated free sessions is a breach of these Terms. Where a promotional discount is offered, its terms will be disclosed at the time of activation. Unless otherwise stated, standard membership terms apply at the end of the free or promotional period.

6. Refund Policy

6.1 General Position

All membership fees are non-refundable except as required by Australian Consumer Law or as expressly set out in these Terms.

6.2 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, that cannot lawfully be excluded, restricted or modified.

If our service fails to meet a consumer guarantee under the Australian Consumer Law, you are entitled to a remedy as required by law.

6.3 Discretionary Refunds

We may, at our sole discretion, provide a refund within 14 days of membership activation upon request to support@axmomentum.com. Refund requests outside this window will be assessed on a case-by-case basis.

7. Acceptable Use

You agree not to:

• use the service for any unlawful purpose or in violation of any applicable law;
• attempt to reverse engineer, decompile, or disassemble the service;
• use the service to harm yourself or others, including using outputs as a substitute for professional medical, legal, or psychological advice;
• share your account credentials or allow others to access your account;
• attempt to access or interfere with our servers, databases, or other Users' accounts;
• submit content that is unlawful, harmful, defamatory, obscene, or infringes the rights of others;
• use automated means to access or scrape outputs from the service;
• resell, redistribute, or commercialise outputs from the service without our express written permission.

8. Intellectual Property

8.1 Our Intellectual Property

The service, including all coaching frameworks, designs, code, trademarks, and other materials, is owned by Amplify X or its licensors and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the service for personal, non-commercial purposes in accordance with these Terms.

8.2 Your Inputs and Outputs

You retain ownership of any inputs you provide to the service (your "Inputs"). By using the service, you grant us a worldwide, royalty-free, non-exclusive licence to process your Inputs for the purpose of generating coaching responses for you, improving our service, and as otherwise described in our Privacy Policy.

Coaching responses generated for you are produced individually and in real time in response to your Inputs. We do not claim ownership of your Inputs. We do not share your Inputs with third parties except as described in our Privacy Policy.

8.3 Nature of the Coaching Service

The service's coaching responses are generated dynamically and individually for each user. Guidance is grounded in established professional development and leadership frameworks and personalised to the information you provide using automated systems, including artificial intelligence technology.

Coaching outputs are general in nature and provided for personal development purposes. While we strive for quality and relevance, we do not guarantee that any output will be accurate, complete, or suitable for your specific circumstances. You remain responsible for exercising your own judgement in deciding whether and how to act on any guidance the service provides.

9. Privacy

Your use of the service is also governed by our Privacy Policy, available at axmomentum.com/privacy. By using the service, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

10. Account Deletion

You may delete your account at any time from Settings within the service. Account deletion will:

• terminate your access to the service across all platforms;
• delete your account data, including coaching session history, from our active systems within 30 days;
• be irreversible.

Any active membership should be cancelled separately before deletion, or by emailing support@axmomentum.com. Backup copies of certain data may be retained for legal or operational purposes for up to 90 days, after which they will be permanently deleted.

11. Disclaimers

11.1 No Guarantee of Outcomes

The service provides coaching frameworks and decision support. We do not guarantee any specific career, financial, relational, or personal outcome from using the service. Outcomes depend on your individual circumstances, effort, and many factors outside our control.

11.2 Not Professional Advice

Guidance provided by the service is for informational and educational purposes only. It is not, and is not intended to be, professional psychological, medical, legal, financial, or therapeutic advice. Always consult a qualified professional for matters requiring professional advice.

11.3 Service Availability

While we aim for continuous availability, we do not warrant that the service will be uninterrupted, error-free, or available at all times. We may modify, suspend, or discontinue any aspect of the service at any time without notice.

12. Limitation of Liability

To the maximum extent permitted by law, and subject to our obligations under Australian Consumer Law:

• our total liability to you for any claim arising out of or relating to these Terms or the service is limited to the amount you have paid to us in the 12 months preceding the claim;
• we will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, or loss of opportunity, arising out of or relating to your use of the service;
• nothing in this clause limits or excludes any liability that cannot lawfully be limited or excluded under Australian Consumer Law.

13. Indemnity

You agree to indemnify and hold Amplify X harmless from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• your breach of these Terms;
• your misuse of the service;
• your violation of any law or the rights of any third party.

14. Termination

We may suspend or terminate your account and access to the service at any time, with or without notice, for any reason, including breach of these Terms. Upon termination:

• your right to use the service will immediately cease;
• any outstanding membership fees remain payable;
• provisions of these Terms that by their nature should survive termination will survive (including Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law).

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to you via email to your registered address, or via prominent notice in the service, at least 14 days before they take effect.

Continued use of the service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Western Australia, Australia. You agree to submit to the exclusive jurisdiction of the courts of that state and the federal courts of Australia for any disputes arising out of or relating to these Terms or the service.

17. Apple App Store Terms

If you obtained a version of the service as an app from the Apple App Store, you acknowledge that:

• these Terms are between you and Amplify X, not Apple Inc.;
• Apple has no obligation to provide maintenance or support services for the app;
• Apple is a third-party beneficiary of these Terms and may enforce them against you;
• your use of the app must also comply with the App Store Terms of Service.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Amplify X regarding the service and supersede all prior or contemporaneous agreements or understandings.
